REMINGTON® BEARD BOSS GIVEAWAY OFFICIAL RULES

Official Rules January 11, 2019

NO PURCHASE NECESSARY TO ENTER OR WIN THE Beard Boss Instagram Giveaway ("Giveaway" or "Promotion"). A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. PROMOTION DESCRIPTION: The Giveaway will commence on January 15, 2019 at 12:01 AM Central Time and end on January 31, 2019 at 11:59 PM ("Promotion Period"). The Sponsor is the Spectrum Brands, Inc., 3001 Deming Way, Middleton, WI 53562 ("Sponsor"). These Official Rules set forth the entire agreement between the Sponsor and the Participant (defined below) relating to the subject matter hereof, and supersede all prior agreements and understandings relating thereto, whether oral or written. The Official Rules form a binding legal agreement between Participant (defined below) and the Sponsor with respect to the Giveaway. Sponsor is the official timekeeper.
2. ELIGIBILITY: The Giveaway is open only to U.S. and District of Columbia residents (excluding residents of the Puerto Rico, the U.S. Virgin Islands, Guam, and the Northern Mariana Islands or U.S. Military bases) and who are physically located in the U.S. or the District of Columbia (excluding Puerto Rico, the U.S. Virgin Islands, Guam, and the Northern Mariana Islands or U.S. Military bases) and are the age of majority or older in their state or District of Columbia at the time of entry. Entrants must have a valid e-mail account.
   
   If you do not meet all the eligibility requirements in these Official Rules, you are not eligible to win a prize. Employees, directors, officers and contractors of Sponsor its affiliated entities, advertising and promotion agencies and their immediate families or those living in the same household of each are not eligible to enter the Giveaways. The Giveaway is subject to all applicable federal, state, provincial and local laws and regulations and are void where prohibited or restricted by law. Chances of winning this Giveaway depends on the number of Participants (defined below).
3. HOW TO ENTER: An eligible entrant who has agreed to these Official Rules and enters accordingly is a Participant ("Participant"). To enter the Giveaway and be eligible to win a prize, during the Promotion Period, the Participant must Follow @RemingtonBeardBoss on Instagram (instagram.com/remingtonbeardboss); "Like" the post and tag three friends in the comment section.
   
   In the event of a dispute as to the identity of a Participant, posted entries will be deemed submitted by the authorized account holder of the Instagram account from which it was submitted. The authorized account holder shall be the natural person to whom the applicable Instagram account has been assigned by Instagram. Sponsor is not responsible for lost, late, incomplete, garbled, illegible or misdirected posted entries, or for any error, human, technical or otherwise, which occurs or may occur in accordance with the Giveaway. Proof of posted entry does not constitute proof of actual receipt by Sponsor. Multiple entries are acceptable.
   
   By entering the Giveaway, Participant warrants that he or she is the owner of the posted entry and hereby grants to Sponsor a royalty free, irrevocable, perpetual and worldwide license to use, edit Page 2 of 4 for brevity and clarity, and to display the entry with or without the entrant's first name and last initial or social media handle, without compensation of any kind or further notice to or approval from entrant or any third party. Sponsor is not responsible for any unauthorized third-party use of any posted entry.
4. HOW THE WINNER IS SELECTED: One winner will be randomly selected on or about February 1, 2019 by an employee or employees of Sponsor. The random selection shall be final in all matters relating to the Giveaway. The winner will be subject to verification and be contacted via Instagram where he or she entered ("Notice"). The winner must respond by email to remington@spectrumbrands.com with his/her full name, physical address and email address within 72 hours after Notice or be disqualified at Sponsor's sole discretion. In case of disqualification, another winner may be chosen at random at the sole discretion of Sponsor.
5. PRIZE: The winner will receive a $500 Visa gift card plus a Beard Boss Prize Pack ("Prize") which will be shipped no later than March 8, 2019. The retail value of the Prize is $575. All federal, state, provincial and local tax liabilities are the sole responsibility of the winner as are all costs, fees and expenses associated with accepting, receiving or using the Prize. No cash alternative, transfer, substitution, or cash equivalent for the Prize is permitted, except by Sponsor in its sole discretion. Sponsor may post the winners' first name and last initial on its social media pages.
   
   Sponsor is not responsible for any change in Participant's physical address or e-mail address. If the winner is found to be ineligible or declines acceptance of the Prize for any reason, an alternate winner may be selected at Sponsor's sole discretion. By entering this Giveaway and/or accepting the Prize, each entrant consents (except where prohibited by law) to the reasonable use by Sponsor of his/her photograph, likeness and/or image, hometown address, and first name and last initial without further compensation or acknowledgement for any future promotional activity, unless prohibited by law.
6. CONDITIONS: By entering the Giveaway, entrant affirms that he or she has read and agrees to abide by these Official Rules and the decisions of the Sponsor which are final. Entrant and/or Participant confirm he or she voluntarily entered the Giveaway and voluntarily gives Sponsor his or her e-mail addresses and if Participant is selected as the winner he or she will give Sponsor his or her physical address to receive the Prize.
   
   Further, Sponsor is not responsible for any injury or damage to entrants' or Participants' or any other person's computer or device related to or resulting from participating in or downloading any materials relative to the Giveaway or for any electronic mail that is late, lost, misdirected, damaged, incomplete, or illegible. Sponsor reserves the right to terminate or modify the Giveaway or these Official Rules at any time for any reason including but not limited to any intervention with the Giveaway beyond the control of Sponsor. In such a circumstance, winner will be selected based on responses received to the date and time of termination. Sponsor reserves the right to disqualify posted entries that in its sole discretion include tampering with the entry process or the operation of the Giveaway, or to be acting in violation of these Official Rules or in a disruptive manner or have failed to agree to these Official Rules or Privacy Policy.
7. LIMITATION OF LIABILITY/GOVERNING LAW: IN NO EVENT SHALL SPONSOR, INSTAGRAM OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES, AND RELATED COMPANIES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AGENTS, CONTRACTORS, SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE "RELEASEES") BE RESPONSIBLE FOR ANY CLAIMS, ACTIONS, DEMANDS, LOSSES, LIABILITIES, DAMAGES, COSTS AND EXPENSES (INCLUDING, ATTORNEYS' FEES) OF ANY KIND, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE, ARISING OUT OF THE ENTRY OR PARTICIPATION IN THE GIVEAWAY, THE ACCEPTANCE, POSSESSION, USE, MISUSE, LOSS OR MISDIRECTION OF THE PRIZE, PARTICIPATION IN ANY GIVEAWAY RELATED ACTIVITIES OR ACCESS TO AND USE OF ANY INTERNET SITE, AND PARTICIPANT AGREES TO RELEASE, DEFEND, INDEMNIFY, DISCHARGE AND HOLD HARMLESS THE RELEASEES FROM ANY SUCH CLAIMS, ACTIONS, DEMANDS, LOSSES, LIABILITIES, DAMAGES, COSTS AND EXPENSES, INCLUDING, WITHOUT LIMITATION FROM ANY DAMAGE, INJURY, DEATH, LOSS OR OTHER LIABILITY EITHER AT LAW OR EQUITY WHETHER KNOWN OR UNKNOWN, ASSERTED OR NOT ASSERTED THAT MAY ARISE FROM OR IN ANY WAY RELATE TO ENTRY OR PARTICIPATION IN THE GIVEAWAY, OR THE AWARDING, ACCEPTANCE, USE OR MISUSE OF THE PRIZE. WITHOUT LIMITING THE FOREGOING, THE GIVEAWAY AND THE PRIZE ARE PROVIDED "AS-IS" WITHOUT ANY WARRANTY (EXCEPT FOR MANUFACTURERS' WARRANTIES, IF ANY) OR REPRESENTATION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
   
   The Giveaway will be governed by and construed in accordance with the laws of the state of Wisconsin, without giving effect to any choice of law or conflict of laws rules or provisions. Except where prohibited by law, as a condition of participating in the Giveaway(s), Participants agree that (a) any and all disputes and causes of action arising out of or connected with these Giveaways shall be resolved without any form of class action, (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees; and (c) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively "Special Damages"), and (d) Participants hereby waive all right to claim Special Damages and all rights to have such damages multiplied or increased.

   Information collected from entrants and Participants is subject to the Spectrum's Privacy Policy which can be found at http://spectrumbrands.com/privacy. Instagram states that it is not involved in the collection, gathering, or retention of information collected from entrants or Participants in the Giveaway. By posting and entry you elect to receive occasional updates, special offers and other information from Sponsor and its affiliated and associated companies about their products and services and agree your e-mail address may be shared with those companies. On any notice you receive, you will have the opportunity to choose not to receive any subsequent notices.
   
   Instagram is not a sponsor, endorsers, or administrator of the Giveaway. You are providing your information to Sponsor. The information you provide will only be used as described in these Official Rules.
